• Drawing up corporate documents (Articles of Association, Memorandum of Association), developing the company's internal corporate governance, drafting and implementing local internal acts (instructions, bylaws on management bodies, quality management system procedures, DoA, compliance procedures);
  Arranging and holding in-person and absentee meetings of the general meeting (shareholders) of participants, board of directors, supervisory board, management board, preparation and collection of materials on the agenda of meetings, keeping minutes of the meeting, control over execution of assignments;
• Legal support of mergers and acquisitions (M&A) transactions, legal analysis of the transaction structure, identification of potential risks, provision of proposals for the implementation of the transaction taking into account legal requirements;
• Legal support in obtaining approvals from state authorities on economic concentration, approvals on natural monopolies, registration (re-registration) of legal entities, their liquidation or reorganization;
• Legal support of the company's internal projects aimed at transformation (transformation) of business processes in order to increase the efficiency of the company's activities;
• Drafting various contract templates agreements, including public contracts, standard forms of contracts and general corporate requirements to contracts, legal due diligence of contracts, participation in negotiations on terms and conditions of concluded transactions, support in enter into of various agreements, memorandums of cooperation, etc.;
• Legal support of transactions and operations regarding compliance with sanctions and export control measures;
• Preparation of draft claims, responses to claims, statements of claim, responses, objections, participation in court as a representative of the company, participation in resolving disputes with counterparties, employees, appealing the results of inspections of state authorities;
• Organization of interaction with legal departments of subsidiaries, as well as control over obtaining approvals of corporate bodies of the parent organization for transactions of subsidiaries;
